myalldayPA Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of the myalldayPA services (“Services”) provided by ADP Call Centres Ltd (Company No. 3908228), registered at PO Box 277, Manchester M50 2ZU (“we”, “our”, “us”). By registering for and using our Services, you (“you”, “your”, “the Member”) agree to comply with and be bound by these Terms.

1. Account Registration and Security
To access any part of the Services, you are required to complete the registration process to create a myalldayPA Account. You agree to provide accurate, current, and complete information during registration and to update us immediately if any information changes. You must keep your account password secure and confidential at all times. You are solely responsible for all use or misuse of your account credentials. If we reasonably believe that you have supplied false or misleading information, or failed to update your details, we may suspend or terminate your account immediately.

2. Services Provided
myalldayPA provides personal and business telephone answering, message handling, and virtual receptionist services, available 24 hours a day, seven days a week, 365 days a year. As a registered member, you will have access to a dedicated telephone number and bespoke call-handling instructions, which may be amended at any time. You may divert your personal or business telephone numbers to the number allocated to you.
All telephone numbers remain the sole property of ADP Call Centres Ltd. They are provided strictly as part of the Services and may not be ported or retained upon termination. We reserve the right to reallocate numbers at our discretion. As part of our fair usage policy, all inbound calls are automatically terminated after five minutes unless otherwise agreed. Calls transferred via the virtual receptionist service are also subject to the five-minute limit.

3. Call Credits and Pricing
The Services operate on a pre-paid credit system. Each answered call is charged at one (1) credit. Where a call is received, handled, and subsequently transferred to you or to a number provided by you, the charge is one and a half (1.5) credits per call. The price per credit is set at our sole discretion and may be varied at any time without notice. Updated pricing will be communicated through your myalldayPA dashboard or via email.
It is your responsibility to ensure sufficient credits are available on your account to enable us to provide the Services. If your balance falls below £5, the Services may be suspended until additional credits are purchased and applied.

4. Billing and Payments
All Services are provided on a pre-paid basis and are strictly non-refundable. No refunds will be given for unused credits, call bundles, set-up fees, or other charges. You, your company, and its directors are jointly and severally liable for all amounts owed. In the event of chargebacks or failed payments, we reserve the right to suspend Services until the balance is cleared.

5. User Content and Restrictions
You are responsible for any information, messages, and materials (“User Content”) transmitted through or processed by the Services. We reserve the right to block, remove, or refuse to handle any User Content that we deem unlawful, defamatory, offensive, obscene, misleading, infringing, or otherwise inappropriate.
You agree not to:
• Use the Services for any illegal, fraudulent, or abusive activity.
• Upload harmful code, viruses, or disruptive software.
• Impersonate any person or misrepresent your affiliation with any organisation.
• Send spam, chain letters, or unsolicited marketing content.
• Reproduce, duplicate, copy, resell, or exploit the Services for commercial purposes without written consent.

6. Data Protection and Confidentiality
We process personal data in compliance with the UK Data Protection Act 2018 and the UK GDPR. Calls may be recorded for quality and training purposes and stored for a maximum of 30 days. You acknowledge and consent to such monitoring. We will take reasonable steps to secure personal data but cannot guarantee complete security over transmissions or storage.

7. Limitation of Liability
We will exercise reasonable skill and care in providing the Services but make no guarantees regarding accuracy, completeness, or uninterrupted availability. To the maximum extent permitted by law, we accept no liability for:
• Missed, delayed, misrouted, or incorrectly handled calls.
• Loss of profits, contracts, goodwill, business opportunities, or anticipated savings.
• Any indirect, consequential, or special damages.
Our total liability to you, whether in contract, tort, statutory duty, or otherwise, shall not exceed the lesser of £50 or the total amount paid by you in the preceding 12 months.

8. Indemnity
You agree to indemnify and hold harmless ADP Call Centres Ltd, its directors, employees, and suppliers from and against any claims, damages, losses, or expenses (including legal fees) arising out of your use of the Services, breach of these Terms, or any third-party claims relating to your account or content.

9. Modifications to Services and Charges
We reserve the right to modify these Terms, the Services, and pricing at any time. Where possible, we will provide at least 14 days’ notice of material changes via email or through your dashboard. Continued use of the Services after any changes are implemented constitutes your acceptance of the updated Terms.

10. Termination
We may suspend or terminate your account immediately if you breach these Terms, fail to maintain sufficient credits, or if we suspect unlawful activity. Unused credits are non-refundable upon termination. We may also terminate Services after 90 days of inactivity.

11. Complaints
We aim to provide a high-quality service. If you wish to make a complaint, please contact us at 0345 055 9119. We will investigate and respond within 48 business hours wherever possible.

12. VAT
All prices quoted exclude VAT unless otherwise stated. VAT will be charged at the prevailing rate.

13. Governing Law
These Terms are governed by English law. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
